1. Agreement to Terms

By engaging Metaphor Marketing Agency ("Metaphor", "we", "us") for any services, you ("Client") agree to be bound by these Terms and Conditions. These terms apply to all digital marketing, web development, SEO, social media, and branding services delivered by Metaphor.

2. Services Provided

Metaphor Marketing Agency provides the following categories of services, as agreed in individual client proposals:

  • Search Engine Optimisation (SEO) — local, national, and international
  • Social Media Marketing and Management
  • Custom Web Design and Development
  • Brand Strategy and Creative Design
  • Performance Marketing (Google Ads, Meta Ads)
  • Marketing Audits and Consulting

The specific scope, deliverables, and timelines for each engagement are detailed in a separate Client Proposal or Service Agreement.

3. Payment Terms

  • Monthly retainer services are invoiced at the beginning of each service month.
  • Payment is due within 7 days of invoice date unless otherwise agreed.
  • Project-based work may require a 50% deposit before project commencement.
  • Late payments may incur a 2% monthly fee on outstanding balances.
  • All prices are in USD unless otherwise specified in the Client Proposal.

4. Cancellation Policy

Monthly retainer agreements may be cancelled with 30 days' written notice. Metaphor does not apply long-term lock-in contracts. Cancellations mid-month will be billed for the full current month.

5. Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals to prevent project delays.
  • Granting necessary access to website hosting, ad accounts, and social media platforms.
  • Ensuring all content provided is legally owned or licensed by the client.

6. Intellectual Property

All creative work produced by Metaphor (including logos, website designs, and written content) remains the property of Metaphor until full payment has been received, at which point ownership transfers to the client.

7. Results Disclaimer

While Metaphor employs best-practice digital marketing strategies, we cannot guarantee specific rankings, follower counts, or revenue outcomes. Digital marketing results are subject to third-party platform algorithms, market conditions, and competitive factors outside our control.

8. Limitation of Liability

Metaphor's liability for any claim arising from service delivery is limited to the fees paid by the client in the most recent 3-month period. We are not liable for indirect, incidental, or consequential damages.

9. Governing Law

These Terms are governed by the laws of Sri Lanka. Any disputes shall be resolved in the courts of Kandy, Sri Lanka, unless otherwise agreed in writing.
